1. Introduction

Welcome to Lessorio. These Terms of Service ("Terms") govern your access to and use of the Lessorio platform, including our website, applications, and services (collectively, the "Service"). By accessing or using the Service, you agree to be bound by these Terms.

Please read these Terms carefully before using our Service. If you do not agree to these Terms, you may not access or use the Service.

2. Definitions

• "Service" refers to the Lessorio property management platform
• "User" refers to any individual or entity using the Service
• "Account" refers to your registered account on our platform
• "Content" refers to any data, text, files, or materials uploaded to the Service
• "Subscription" refers to your paid plan on the Service

3. Account Registration

3.1 Eligibility

To use Lessorio, you must:

• Be at least 18 years of age
• Be a resident of India or a registered business in India
• Have the legal capacity to enter into a binding agreement
• Not be prohibited from using the Service under applicable laws

3.2 Account Responsibility

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to:

• Provide accurate and complete registration information
• Keep your account information up to date
• Notify us immediately of any unauthorized access
• Not share your account credentials with others

4. Subscription Plans

4.1 Plan Descriptions

Lessorio offers various subscription plans (Free, Basic, Professional, Enterprise) with different features and limitations. The specific features of each plan are described on our pricing page.

4.2 Billing Cycle

Paid subscriptions are billed in advance on a monthly or annual basis. Your subscription will automatically renew at the end of each billing period unless you cancel before the renewal date.

4.3 Price Changes

We reserve the right to change our prices. Any price changes will be communicated to you at least 30 days before they take effect. Continued use of the Service after a price change constitutes acceptance of the new price.

5. Payment Terms

5.1 Payment Methods

We accept payments through Razorpay, including credit/debit cards, UPI, net banking, and popular wallets. All payments are processed in Indian Rupees (INR).

5.2 Taxes

All prices are exclusive of applicable taxes. GST at 18% will be added to your invoice as per Indian tax laws. You are responsible for paying all applicable taxes.

5.3 Failed Payments

If a payment fails, we will attempt to charge your payment method again. If payment continues to fail after 7 days, your account may be downgraded to the Free plan or suspended.

6. Use of Service

6.1 Permitted Use

You may use Lessorio to:

• Manage your rental properties and tenants
• Create and manage rental agreements
• Record and track payments and expenses
• Generate reports and invoices
• Send notifications to tenants
• Store property-related documents

6.2 Prohibited Use

You may not use Lessorio to:

• Violate any applicable laws or regulations
• Infringe on the rights of others
• Upload malicious code or interfere with the Service
• Attempt to gain unauthorized access to our systems
• Use the Service for any illegal or fraudulent purpose
• Resell or redistribute the Service without authorization
• Store or transmit content that is harmful, offensive, or illegal

7. User Content

7.1 Ownership

You retain ownership of all Content you upload to Lessorio. By uploading Content, you grant us a limited license to store, process, and display that Content as necessary to provide the Service.

7.2 Your Responsibilities

You are solely responsible for the Content you upload. You represent that you have all necessary rights to upload and use such Content.

8. Intellectual Property

8.1 Our IP

The Service and its original content (excluding User Content), features, and functionality are owned by Lessorio and are protected by copyright, trademark, and other intellectual property laws.

8.2 Restrictions

You may not copy, modify, distribute, sell, or lease any part of our Service or its content without our explicit written permission.

9. Data & Privacy

Our collection and use of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference.

10. Third-Party Services

Our Service integrates with third-party services including:

• Razorpay for payment processing
• AWS SNS for SMS notifications
• AWS SES for email communications
• AWS for cloud infrastructure

Your use of these services is subject to their respective terms and privacy policies. We are not responsible for the actions of third-party services.

11. Disclaimers

11.1 "As Is" Service

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

11.2 No Legal or Financial Advice

Lessorio provides tools for property management and reporting. We do not provide legal, financial, or tax advice. The GST and TDS calculations are for reference only. You should consult qualified professionals for legal and financial matters.

11.3 Compliance Responsibility

While we strive to help you stay compliant with Indian laws, you are ultimately responsible for ensuring your rental agreements, tax filings, and business practices comply with applicable laws.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, LESSORIO SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM YOUR USE OF THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM.

13. Indemnification

You agree to indemnify, defend, and hold harmless Lessorio and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising out of:

• Your use of the Service
• Your violation of these Terms
• Your violation of any third-party rights
• Your Content uploaded to the Service

14. Termination

14.1 Termination by You

You may cancel your subscription and close your account at any time through your account settings. Upon cancellation:

• You will retain access until the end of your current billing period
• No refunds will be provided for partial months
• Your data will be retained for 30 days before permanent deletion

14.2 Termination by Us

We may suspend or terminate your account if you violate these Terms or for any other reason at our discretion. We will provide notice before termination when possible.

14.3 Effect of Termination

Upon termination, your right to use the Service will immediately cease. Provisions of these Terms that should survive termination will survive.

15. Dispute Resolution

15.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law provisions.

15.2 Jurisdiction

Any disputes arising from these Terms or your use of the Service shall be subject to the exclusive jurisdiction of the courts in Hyderabad, Telangana, India.

15.3 Arbitration

Before initiating legal proceedings, you agree to attempt to resolve any dispute through good-faith negotiation. If negotiation fails, disputes may be resolved through binding arbitration in accordance with the Arbitration and Conciliation Act, 1996.

16. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of any material changes by posting the updated Terms on our website and sending you an email notification.

Your continued use of the Service after changes become effective constitutes your acceptance of the revised Terms.

17. General Provisions

• Entire Agreement: These Terms constitute the entire agreement between you and Lessorio regarding the Service.
• Severability: If any provision is found unenforceable, the remaining provisions will remain in effect.
• Waiver: Our failure to enforce any provision does not constitute a waiver of that provision.
• Assignment: You may not assign your rights under these Terms without our consent.
